Investment Funds Associate – Top Am Law 50 Firm

About the Position: Our client, a leading Am Law firm, is actively seeking an attorney with 2-5 years of investment funds experience to join its practice as an associate. This international practice represents fund managers and funds, as well as institutional investors, across a range of asset classes, including real estate, private equity, private credit, venture capital and infrastructure. Lawyers in the group advise on the full lifespan of funds, from launching to closing, including assisting global investment managers with structuring and fund-raising, as well as advising on regulatory matters.

Responsibilities:

• Represent fund managers and their funds across a variety of asset classes and strategies
• Assist institutional investors with all aspects of structuring, fundraising and operating investment funds and alternative investment structures
• Draft and review fund documents; identify issues in such documents on behalf of institutional investors
• Negotiate side letters and other ancillary contractual materials

Required Qualifications:

• 2-5 years of investment funds experience at a law firm
• Familiarity with the Investment Company Act, Securities Act (particularly Regulation D), Advisers Act/related exemptions, and registration and compliance issues applicable to fund managers
• Exposure to investment adviser compliance, commercial real estate assets and related financings is a plus
• Excellent academic credentials

Location: Chicago, IL (Hybrid)

Compensation: The anticipated salary range for this position is $225,000 – $365,000.
